1. THE PLATFORM AND THE SERVICES
1.1. Topics Chat is a social network operated by Topics Chat Portugal, LDA, created to promote valuable, organised and non-toxic online interactions (hereinafter the 'Platform').
1.2. Topics is committed to promoting a safe and respectful online environment. The Platform applies a strict zero-tolerance policy for abusive or inappropriate content and offers tools for automated and manual moderation, including user reporting, account blocking, and swift content review within 24 hours.
1.3. The main objective of Topics Chat is to provide a friendly environment that connects individuals, companies and interests in a fluid and uncomplicated manner for the User (any natural or legal person who accesses the Platform in any way or uses the Services, whether free or paid).
1.4. Without prejudice to the Platform's third-party communication capabilities, the Platform is not capable of communicating with emergency services or emergency service providers, including, in particular, police, firefighters, hospitals or any other public or private health and public safety service.
1.5. The User agrees that it uses the Services at its own risk 'as is', without any express or implied warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, non-infringement and freedom from computer viruses or other harmful code.
1.6. Topics Chat does not warrant that any information provided is accurate, complete or useful, that the Platform or any of the services made available thereon are operational, error-free, secure or protected, or that the Platform or any of the services made available thereon operate without interruption, delay or imperfection.
1.7. The User accepts that Topics Chat does not control and is not responsible for controlling how or when users use the Services or the functionalities, services and interfaces that the Platform offers, and is not responsible for and is not obliged to control the actions or information (including content) of users or third parties.
2. ACCESS TO THE PLATFORM AND TO THE SERVICES
2.1. No one under the age of 13 is authorised to access and use the Platform, without prejudice to the availability of services within the Platform for which the User must be of legal age in the respective jurisdiction.
2.2. The User is responsible for the data connection required to access the Platform, namely for contracting a telecommunications provider and paying the price associated with that service.
2.3. By accessing the platform, the User declares that:
2.3.1. It is at least 13 years old;
2.3.2. Accepts these Terms and Conditions ('TCs'), as well as the Privacy Policy, [*], which together are henceforth referred to as the 'Contract' concluded between Topics Chat and the User;
2.3.3. Can enter into a binding Contract with Topics Chat or, if it does not have the legal capacity to do so, that its legal representative has reviewed and agreed to the TCs, authorising the conclusion of the Contract;
2.3.4. Is not prevented from using online platforms or services under any laws, government restriction measures or court decision;
2.3.5. Is not prevented from using the Services for any reason;
2.3.6. If it is using the platform and/or the services on behalf of a legal person or similar, that it has the power to bind that entity to the Contract.
2.3.7. Agrees to pay (when necessary) for the User's content in accordance with this Agreement, and in accordance with the contract concluded between Creator and User.
2.3.8. Declares and recognises that content appropriate for adults only may be made available on the Platform and releases Topics Chat from any liability arising from how or where the content is viewed.
2.4. Subject to the compliance with the Agreement, Topics Chat grants the User a personal, non-transferable, non-exclusive, revocable and limited licence to: (a) install and use a copy of the mobile application associated with the Services that is obtained through a legitimate marketplace on a mobile device controlled or owned by the User; and (b) access and use the Services.
2.5. Topics Chat reserves all rights not expressly granted to the User in this Agreement.
2.6. Except and exclusively to the extent that such a restriction is not allowed under the applicable laws, the User may not, without the written agreement of Topics Chat:
2.6.1. licence, sell, transfer, assign, distribute, host or commercially exploit the Services;
2.6.2. modify, prepare derivative works of, disassemble, decompile or reverse engineer any part of the Services; or
2.6.3. access the Services to create a similar or competitive website, product or service.
2.7. Topics Chat does not guarantee that the Platform and the Services will always be available or will be uninterrupted.
2.8. Topics Chat reserves the right to add or remove functions, products or features, modify, suspend or discontinue the Services (in whole or in part) at any time, with or without notice to the User. Any future release, update or other addition to the functionality of the Platform or the Services will be subject to the Agreement, which may be unilaterally updated by Topics Chat from time to time.
2.9. The User agrees that Topics Chat shall not be liable to it or to any third party for any modification, suspension or discontinuance of the Platform or the Services or any part thereof.
3. USER ACCOUNT
3.1. In order to use the Platform and the Services, the User must create a personal account on the Platform (User with or without access to paid access, who does not use the Platform for its commercial, professional or other profit-making activity) or a professional account (User who uses the Platform for commercial, professional or other profit-making activity, either through the direct purchase and sale of goods, services and content to other Users, or through the use of the Platform for any form of advertising or marketing, including affiliate programmes or others of a similar nature).
3.2. The User is solely responsible for the information associated with its Account and for anything that happens in relation to it.
3.3. Without prejudice to any other rights and obligations set out in the Agreement, the User is prohibited from choosing a username or identifiers that infringe any intellectual property rights of third parties or may be potentially offensive, and Topics Chat may refuse to create the Account on these terms, as well as change the chosen username without any prior notice, suspend or terminate the Account at its discretion.
3.4. The purchase of usernames and other titles and identifiers from Topics Chat is subject to the pricing in force at any given time and their purchase implies a waiver of the purchaser-consumer's right to withdraw and in any case is not subject to refund, regardless of the capacity in which the purchaser acts.
3.5. Topics Chat may at any time withdraw the use of a username if it is acquired by another User who owns intellectual property rights, a registered trade mark or any legal right to exclusive use of it.
3.6. The User is solely responsible for the security of its account. In the event of any circumstance that gives rise to a suspicion that someone else may access or have accessed its account, the User must notify Topics Chat immediately.
3.7. The User may cancel its account at any time and for any reason by deleting its Account and discontinuing use of the Services. If the User stops using the Services without deactivating its Account, its Account may be deactivated by Topics Chat due to prolonged inactivity.
3.8. Any breach of the Agreement may result in the suspension or termination of the User's account, without prejudice to Topics Chat reserving the right to suspend or terminate any User account it deems fit for any reason.
4. PROFESSIONAL USER ACCOUNT; CONTENT CREATOR
4.1. To create a Professional User account, the User must:
4.1.1. Single Person
Provide a valid copy of its identity document and two photographs;
Add a valid bank account in the User's name, as well as payment details or any means of receiving payments accepted by the Platform;
Select the method of payment of the income due to the Business User;
Provide a valid tax identification document;
Submit any proof of identification and age required and at Topics Chat' request;
Determine the value of the subscription or content it wishes to make available;
4.1.2. Legal Person
Provide the access code to the commercial certificate;
Provide the RCBE;
Provide a copy of identification document of the legal representative;
Add a valid bank account in the User's name, as well as payment details or any means of receiving payments accepted by the Platform;
Select the method of payment of the income due to the Professional User;
Determine the value of the subscription or content you wish to make available;
Provide any other document or information that Topics Chat requires.
4.2. The Business User guarantees that it is fully aware that it tax situation is its sole responsibility and that Topics Chat cannot be held liable for any non-compliance not directly caused by Topics Chat' intervention.
5. USER'S OBLIGATIONS
The User has the following obligations:
5.1. Not to impersonate another person or provide incorrect information regarding its identity or the capacity in which they act within the Platform;
5.2. Not to act unlawfully, deceitfully or fraudulently, regardless of the purpose, or in any way carry out any unlawful or unauthorised action;
5.3. Not to incite others to violate any legal provision or the Contract;
5.4. Not to use the Platform in such a way as to interfere with or jeopardise its intended operation;
5.5. Not to obtain or attempt to obtain unauthorised access to the Platform or its systems;
5.6. Not to create accounts or access or collect information in an unauthorised manner or through automated processes;
5.7. Not to sell, licence or buy any rights or accounts obtained through the Platform;
5.8. Not to publish private or confidential information of a person, natural or legal, without its permission, or carry out any action that infringes third party rights, particularly intellectual property rights;
5.9. Not to modify, translate, create derivative works or reverse engineer, alter, modify, decompile or extract code from the Platform;
5.10. Not to create software or APIs that function in substantially the same way as the Platform and offer them for use by third parties in an unauthorised manner;
5.11. Not to use a Platform reporting channel in a fraudulent or unfounded manner;
5.12. Not to use a domain or URL as a username without the written consent of Topics Chat;
5.13. Not to keep the device on which the Topics Chat mobile application is installed up to date with the latest security updates and not access the application via software modified or not authorised by the manufacturer of the device;
5.14. Not to use the Platform to develop its business or activity in order to make purchases, sales, subscriptions or other models of remuneration for content, goods or services, without the express authorisation of Topics Chat and through the payment channels permitted on the Platform.
6. CONTENT
6.1. Topics Chat assumes no responsibility for and does not endorse, agree or guarantee, either explicitly or implicitly, the completeness, truthfulness, accuracy or reliability of any content published on the Platform, including User content.
6.2. User content may comprise any type of content (information, texts, links, graphics, photos, videos, audio, streams, software, tools or other materials, among others) made available by the User on the Platform, in any capacity or for any purpose, regardless of whether the User is the creator.
6.3. By uploading content to the Services, whether its own or that of a third party, the User guarantees that it has all the necessary rights, power and authority to do so.
6.4. The User is solely responsible for its content and will bear all responsibility if it shares content without all the necessary rights.
6.5. The User retains ownership rights over its content.
6.6. Content may contain links to third party websites, products or services, which may be posted by advertisers, our affiliates, our partners or other users ('Third Party Content'). Third Party Content is not under the control of Topics Chat. Such Third-Party sites, products or services are not the responsibility of Topics Chat.
6.7. All content shared on the Platform must be lawful and comply with all legal standards applicable to the type of Content.
6.8. Topics Chat reserves the right, at any time and for any reason, to remove any content that violates or may violate the Agreement or the law.
7. CONTENT MONITORING; COMPLIANCE WITH COURT ORDERS
7.1. Topics Chat reserves the right to review, analyse, monitor and remove all content shared on the Platform, regardless of the means of interaction between Users, at any time, and without this entitling the User to claim any compensation or indemnity from Topics Chat, in any capacity, for this fact, and the fact that the Platform allows the publication or sharing of certain content does not imply any presumption of compliance and acceptance thereof.
7.2. Content is monitored through the use of software specifically developed to detect the dissemination of inappropriate or illegal content and decisions relating to the removal or suspension of certain content will comply with industry best practice and the provisions of applicable laws.
7.3. The User must report any content or conduct that they believe violates the law, along with any security vulnerabilities they detect, through the contacts made available on the Platform.
7.4. Interactions on the Platform are encrypted from point to point using proprietary software.
7.5. Without prejudice to the above, Topics Chat may share the content exchanged between Users and any content made available within any means of interaction permitted on the Platform, with any third parties, public or private entities, in fulfilment of a court order or other order of an equivalent nature, namely state court judgments, orders from Criminal Police Agencies, or other equivalent orders.
8. CONTENT MODERATION AND SAFETY POLICY
8.1. The Platform integrates automated filtering mechanisms using AI technologies for public content screening and moderation tools, as well as keyword blacklists, to proactively detect and block inappropriate or harmful content.
8.2. In addition:
8.2.1. Users can report any message, profile, or piece of content that they consider objectionable, via a 'Report' function available within each interaction context.
8.2.2. Users can block other users directly from their profile, preventing any further interaction or visibility.
8.2.3. All reports are reviewed by Topics' dedicated backoffice team.
8.2.4. Topics guarantees that reported content will be assessed and acted upon within 24 hours, including removal of content and potential suspension or banning of the user who posted it.
8.2.5. By using the Platform, Users agree to these community standards and accept that any violation may lead to content removal, account suspension, or permanent banning.
9. INTERACTIONS WITHIN THE PLATFORM
9.1. Within the Platform, Users may share content and interact with that content and with each other, through:
9.1.1. Topics Chat Rooms
9.1.2. Private Chat
9.1.3. Group Chat
9.1.4. Channels
9.2. The use of any means of interaction complies with these T&Cs and any specific rules of each means of interaction imposed by the creators of the means and/or their moderators.
9.3. Users are prohibited from using the Platform in any way that imply:
9.3.1. Use the Services in any way that may interfere with, disable, disrupt, overburden or impair the Services;
9.3.2. Gain access (or attempt to gain access) to another User's Account or to any non-public parts of the Services, including computer systems or networks connected to the Services or used in conjunction with the Services;
9.3.3. Upload, transmit or distribute to or through the Services any viruses, worms, malicious code or other software intended to interfere with the Services, including their security-related features;
9.3.4. Use the Services to violate the law or infringe the intellectual property rights of any person or entity or any other proprietary rights;
9.3.5. Access, search or collect data from the Services by any means (automated or otherwise), except as permitted in these T&Cs;
9.3.6. Use the Services in any abusive or fraudulent manner in Topics Chat or any payment system.
10. PROFESSIONAL USERS OR CONTENT CREATORS
10.1. Professional Users may use the Platform to carry out their business, in particular to sell, licence or otherwise assign the right to use content whose material authorship is attributed to the User, on a subscription or content basis.
10.2. The use of the Platform for commercial purposes is the subject of an express agreement between Professional Users and Topics Chat.
10.3. The Professional User is responsible for setting all amounts due for interactions with other Users, plus VAT at the legal rate in force, if applicable.
11. FREE AND PAID SERVICES
11.1. The creation of User accounts and the use of the Platform are free of charge, except where paid use of the Platform is expressly required.
11.2. Users may subscribe to paid subscriptions, the prices of which are set out in the price list. Subscriptions will be valid for the time subscribed and paid for by the User and failure to use them does not entitle the User to demand a refund of the amount paid for them. If the User's account is suspended or closed due to a breach of the Contract, the User will not be entitled to a refund for the time the account is suspended, nor will such suspension extend the subscription period, nor will the User be entitled to a refund if the account is closed due to such a breach.
11.3. Users may also subscribe to and pay for content created by Professional Users, at the prices set by those Users.
12. SALES WITHIN THE PLATFORM
12.1. Topics Chat may at any time advertise the sale of goods or content, as well as allow the purchase and sale of such goods and content through the Platform, by any means of payment accepted on the Platform at any time.
12.2. All purchases and sales and rights derived therefrom are subject to applicable law.
12.3. Without prejudice to any agreement to the contrary, the rights of consumers and professionals who use the Platform, when the purchase and sale is not made directly by Topics Chat, are guaranteed exclusively by and against the respective sellers.
12.4. Professional Users are prohibited from developing any services within the Platform that it does not directly support, but has the potential to support, as well as using the Platform for any commercial purpose for which it is not intended or for which payment occurs in such a way as to defraud Topics Chat and/or Users.
12.5. For the purchase and sale of content within the Platform, the User who owns the content and the seller shall pay Topics Chat a commission in accordance with the price list in force at the time of the sale.
12.6. All payments within the Platform are processed by Topics Chat or any third party it may appoint, which remunerates Professional Users directly, less Topics Chat' remuneration.
12.7. All transactions within the Platform take place in euros (€ or EUR).
13. THIRD PARTY SERVICES; CONTENT SHARING
13.1. The Platform allows access to and/or use of third-party online sites, applications, content and other products and services from external providers, for whose use the User is fully responsible.
13.2. When sharing content with third parties, whether through third party products and services, in particular cloud storage, or through sharing options available in the operating system of the device on which the User accesses the Platform, or any other, the User is fully responsible for ensuring the legality, reliability and quality of the shared content and the provenance thereof from the Platform can at no time be considered to demonstrate Topics Chat' authorisation for its sharing or dissemination or knowledge of such sharing, nor can it imply any liability on the part of Topics Chat towards third parties, in particular for copyright infringement.
14. LIABILITY AND COMPENSATION
14.1. Except to the extent prohibited by Law, the User agrees to defend, indemnify and hold Topics Chat, its affiliates, and its respective directors, officers, employees, affiliates, agents, service providers, third party service providers and licensors, harmless from and against any claim or demand made by any third party, and any related liability, damage, loss, expense (including costs and attorneys' fees) due to, arising out of or in connection with your use of the Services, breach of the Agreement, violation of Law or its content.
14.2. By using the Services, the User agrees that the liability of the aforementioned entities is limited to the maximum extent permitted in the country of the applicable Law. Liability shall be limited to foreseeable damages arising from a breach of material contractual obligations typical of this type of contract. Topics Chat shall not be liable for damages resulting from a non-material breach of any other applicable civil liability. This limitation of liability shall not apply to any statutory liability that cannot be limited, to liability for death or personal injury caused by Topics Chat negligence or wilful misconduct, or if and to exclude Topics Chat' liability for anything we have specifically promised to the User.
14.3. As set out above, Topics Chat is not responsible for and is not obliged to control the content shared on the Platform, how and when the Platform is used or the actions of its Users or any third parties who, legitimately or illegitimately, have access to the Platform, its functionalities and services, or for any use of the Platform that does not comply with the Agreement, violates any legal or regulatory, community or national provisions, the property of third parties or the Users.
15. FINAL PROVISIONS
15.1. The Agreement constitutes the entire agreement between the User and Topics Chat and supersedes any prior agreements.
15.2. Topics Chat reserves the right to designate in the future that some of the Services will be governed by other Terms or Policies.
15.3. The Services are not intended for distribution or use in any Country or Territory where such distribution or use would violate local law or subject Topics Chat to any restrictions not applicable in Portugal, and Topics Chat reserves the right to limit the Services in any Country or Territory.
15.4. Any modification or waiver of the Agreement proposed by the User requires the express consent of Topics Chat.
15.5. All of Topics Chat' rights and obligations under the Agreement are freely assignable to any of our affiliates or in connection with a merger, acquisition, restructuring or sale of assets, or by operation of law or otherwise.
15.6. Topics Chat' failure to utilise a facility under the Agreement shall not be deemed a waiver of a right.
15.7. If any provision of these T&Cs is held to be unlawful, void or for any reason unenforceable, then that provision shall be deemed amended to the minimum extent necessary to render it enforceable and, if it cannot be rendered enforceable, it shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, and the remaining valid portion shall remain in full force and effect.
15.8. No provision of the Contract may be construed to exclude/restrict mandatory rights under applicable law.
15.9. Portuguese law shall apply to this Contract, except where such choice would violate a EU or national provision intended to protect consumer rights.
15.10. For any dispute arising from the interpretation, execution or termination of the relationship established between the User and Topics Chat, the Judicial Court of the District of Lisbon is competent, with express waiver of any other, except when this choice violates a Community or national provision aimed at protecting Consumer rights.
15.11. Under the terms of the Consumer Protection Law, consumer disputes of a low economic value (less than €5,000.00) are subject to necessary arbitration or mediation, whenever, at the express option of the consumers, they are submitted to an arbitration court attached to legally authorised consumer dispute arbitration centres. Therefore, in the event of a dispute, the final consumer may resort to any of these means, and must be represented by a lawyer or solicitor (or request legal aid, under the terms of the law).
15.12. Furthermore, under Regulation (EU) 524/2013 of the European Parliament and of the Council, the User can access the Online Dispute Resolution Platform (ODR) at https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.chooseLanguage, where information is provided on the possibility of using it to resolve disputes.
15.13. The Consumer Portal (www.consumidor.pt) also provides information on the Alternative Dispute Resolution bodies available to promote the out-of-court resolution of national and cross-border disputes under Law no. 144/2015, of 8 September, with subsequent amendments, when they are initiated by a consumer against a supplier of goods or services and concern contractual obligations resulting from contracts for the purchase and sale or provision of services, concluded between an established supplier of goods or services and consumers resident in Portugal and the European Union.

3.5. Topics Chat may at any time withdraw the use of a username if it is acquired by another User who owns intellectual property rights, a registered trade mark or any legal right to exclusive use of it.
3.6. The User is solely responsible for the security of its account. In the event of any circumstance that gives rise to a suspicion that someone else may access or have accessed its account, the User must notify Topics Chat immediately.
3.7. The User may cancel its account at any time and for any reason by deleting its Account and discontinuing use of the Services. If the User stops using the Services without deactivating its Account, its Account may be deactivated by Topics Chat due to prolonged inactivity.
3.8. Any breach of the Agreement may result in the suspension or termination of the User's account, without prejudice to Topics Chat reserving the right to suspend or terminate any User account it deems fit for any reason.
4. PROFESSIONAL USER ACCOUNT; CONTENT CREATOR
4.1. To create a Professional User account, the User must:
4.1.1. Single Person
Provide a valid copy of its identity document and two photographs;
Add a valid bank account in the User's name, as well as payment details or any means of receiving payments accepted by the Platform;
Select the method of payment of the income due to the Business User;
Provide a valid tax identification document;
Submit any proof of identification and age required and at Topics Chat' request;
Determine the value of the subscription or content it wishes to make available;
4.1.2. Legal Person
Provide the access code to the commercial certificate;
Provide the RCBE;
Provide a copy of identification document of the legal representative;
Add a valid bank account in the User's name, as well as payment details or any means of receiving payments accepted by the Platform;
Select the method of payment of the income due to the Professional User;
Determine the value of the subscription or content you wish to make available;
Provide any other document or information that Topics Chat requires.
4.2. The Business User guarantees that it is fully aware that it tax situation is its sole responsibility and that Topics Chat cannot be held liable for any non-compliance not directly caused by Topics Chat' intervention.
5. USER'S OBLIGATIONS
The User has the following obligations:
5.1. Not to impersonate another person or provide incorrect information regarding its identity or the capacity in which they act within the Platform;
5.2. Not to act unlawfully, deceitfully or fraudulently, regardless of the purpose, or in any way carry out any unlawful or unauthorised action;
5.3. Not to incite others to violate any legal provision or the Contract;
5.4. Not to use the Platform in such a way as to interfere with or jeopardise its intended operation;
5.5. Not to obtain or attempt to obtain unauthorised access to the Platform or its systems;
5.6. Not to create accounts or access or collect information in an unauthorised manner or through automated processes;
5.7. Not to sell, licence or buy any rights or accounts obtained through the Platform;
5.8. Not to publish private or confidential information of a person, natural or legal, without its permission, or carry out any action that infringes third party rights, particularly intellectual property rights;
5.9. Not to modify, translate, create derivative works or reverse engineer, alter, modify, decompile or extract code from the Platform;
5.10. Not to create software or APIs that function in substantially the same way as the Platform and offer them for use by third parties in an unauthorised manner;
5.11. Not to use a Platform reporting channel in a fraudulent or unfounded manner;
5.12. Not to use a domain or URL as a username without the written consent of Topics Chat;
5.13. Not to keep the device on which the Topics Chat mobile application is installed up to date with the latest security updates and not access the application via software modified or not authorised by the manufacturer of the device;
5.14. Not to use the Platform to develop its business or activity in order to make purchases, sales, subscriptions or other models of remuneration for content, goods or services, without the express authorisation of Topics Chat and through the payment channels permitted on the Platform.
6. CONTENT
6.1. Topics Chat assumes no responsibility for and does not endorse, agree or guarantee, either explicitly or implicitly, the completeness, truthfulness, accuracy or reliability of any content published on the Platform, including User content.
6.2. User content may comprise any type of content (information, texts, links, graphics, photos, videos, audio, streams, software, tools or other materials, among others) made available by the User on the Platform, in any capacity or for any purpose, regardless of whether the User is the creator.
6.3. By uploading content to the Services, whether its own or that of a third party, the User guarantees that it has all the necessary rights, power and authority to do so.
6.4. The User is solely responsible for its content and will bear all responsibility if it shares content without all the necessary rights.
6.5. The User retains ownership rights over its content.
6.6. Content may contain links to third party websites, products or services, which may be posted by advertisers, our affiliates, our partners or other users ('Third Party Content'). Third Party Content is not under the control of Topics Chat. Such Third-Party sites, products or services are not the responsibility of Topics Chat.
6.7. All content shared on the Platform must be lawful and comply with all legal standards applicable to the type of Content.
6.8. Topics Chat reserves the right, at any time and for any reason, to remove any content that violates or may violate the Agreement or the law.
7. CONTENT MONITORING; COMPLIANCE WITH COURT ORDERS
7.1. Topics Chat reserves the right to review, analyse, monitor and remove all content shared on the Platform, regardless of the means of interaction between Users, at any time, and without this entitling the User to claim any compensation or indemnity from Topics Chat, in any capacity, for this fact, and the fact that the Platform allows the publication or sharing of certain content does not imply any presumption of compliance and acceptance thereof.
7.2. Content is monitored through the use of software specifically developed to detect the dissemination of inappropriate or illegal content and decisions relating to the removal or suspension of certain content will comply with industry best practice and the provisions of applicable laws.
7.3. The User must report any content or conduct that they believe violates the law, along with any security vulnerabilities they detect, through the contacts made available on the Platform.
7.4. Interactions on the Platform are encrypted from point to point using proprietary software.
7.5. Without prejudice to the above, Topics Chat may share the content exchanged between Users and any content made available within any means of interaction permitted on the Platform, with any third parties, public or private entities, in fulfilment of a court order or other order of an equivalent nature, namely state court judgments, orders from Criminal Police Agencies, or other equivalent orders.
8. CONTENT MODERATION AND SAFETY POLICY
8.1. The Platform integrates automated filtering mechanisms using AI technologies for public content screening and moderation tools, as well as keyword blacklists, to proactively detect and block inappropriate or harmful content.
8.2. In addition:
8.2.1. Users can report any message, profile, or piece of content that they consider objectionable, via a 'Report' function available within each interaction context.
8.2.2. Users can block other users directly from their profile, preventing any further interaction or visibility.
8.2.3. All reports are reviewed by Topics' dedicated backoffice team.
8.2.4. Topics guarantees that reported content will be assessed and acted upon within 24 hours, including removal of content and potential suspension or banning of the user who posted it.
8.2.5. By using the Platform, Users agree to these community standards and accept that any violation may lead to content removal, account suspension, or permanent banning.
9. INTERACTIONS WITHIN THE PLATFORM
9.1. Within the Platform, Users may share content and interact with that content and with each other, through:
9.1.1. Topics Chat Rooms
9.1.2. Private Chat
9.1.3. Group Chat
9.1.4. Channels
9.2. The use of any means of interaction complies with these T&Cs and any specific rules of each means of interaction imposed by the creators of the means and/or their moderators.
9.3. Users are prohibited from using the Platform in any way that imply:
9.3.1. Use the Services in any way that may interfere with, disable, disrupt, overburden or impair the Services;
9.3.2. Gain access (or attempt to gain access) to another User's Account or to any non-public parts of the Services, including computer systems or networks connected to the Services or used in conjunction with the Services;
9.3.3. Upload, transmit or distribute to or through the Services any viruses, worms, malicious code or other software intended to interfere with the Services, including their security-related features;
9.3.4. Use the Services to violate the law or infringe the intellectual property rights of any person or entity or any other proprietary rights;
9.3.5. Access, search or collect data from the Services by any means (automated or otherwise), except as permitted in these T&Cs;
9.3.6. Use the Services in any abusive or fraudulent manner in Topics Chat or any payment system.
10. PROFESSIONAL USERS OR CONTENT CREATORS
10.1. Professional Users may use the Platform to carry out their business, in particular to sell, licence or otherwise assign the right to use content whose material authorship is attributed to the User, on a subscription or content basis.
10.2. The use of the Platform for commercial purposes is the subject of an express agreement between Professional Users and Topics Chat.
10.3. The Professional User is responsible for setting all amounts due for interactions with other Users, plus VAT at the legal rate in force, if applicable.
11. FREE AND PAID SERVICES
11.1. The creation of User accounts and the use of the Platform are free of charge, except where paid use of the Platform is expressly required.
11.2. Users may subscribe to paid subscriptions, the prices of which are set out in the price list. Subscriptions will be valid for the time subscribed and paid for by the User and failure to use them does not entitle the User to demand a refund of the amount paid for them. If the User's account is suspended or closed due to a breach of the Contract, the User will not be entitled to a refund for the time the account is suspended, nor will such suspension extend the subscription period, nor will the User be entitled to a refund if the account is closed due to such a breach.
11.3. Users may also subscribe to and pay for content created by Professional Users, at the prices set by those Users.
12. SALES WITHIN THE PLATFORM
12.1. Topics Chat may at any time advertise the sale of goods or content, as well as allow the purchase and sale of such goods and content through the Platform, by any means of payment accepted on the Platform at any time.
12.2. All purchases and sales and rights derived therefrom are subject to applicable law.
12.3. Without prejudice to any agreement to the contrary, the rights of consumers and professionals who use the Platform, when the purchase and sale is not made directly by Topics Chat, are guaranteed exclusively by and against the respective sellers.
12.4. Professional Users are prohibited from developing any services within the Platform that it does not directly support, but has the potential to support, as well as using the Platform for any commercial purpose for which it is not intended or for which payment occurs in such a way as to defraud Topics Chat and/or Users.
12.5. For the purchase and sale of content within the Platform, the User who owns the content and the seller shall pay Topics Chat a commission in accordance with the price list in force at the time of the sale.
12.6. All payments within the Platform are processed by Topics Chat or any third party it may appoint, which remunerates Professional Users directly, less Topics Chat' remuneration.
12.7. All transactions within the Platform take place in euros (€ or EUR).
13. THIRD PARTY SERVICES; CONTENT SHARING
13.1. The Platform allows access to and/or use of third-party online sites, applications, content and other products and services from external providers, for whose use the User is fully responsible.
13.2. When sharing content with third parties, whether through third party products and services, in particular cloud storage, or through sharing options available in the operating system of the device on which the User accesses the Platform, or any other, the User is fully responsible for ensuring the legality, reliability and quality of the shared content and the provenance thereof from the Platform can at no time be considered to demonstrate Topics Chat' authorisation for its sharing or dissemination or knowledge of such sharing, nor can it imply any liability on the part of Topics Chat towards third parties, in particular for copyright infringement.
14. LIABILITY AND COMPENSATION
14.1. Except to the extent prohibited by Law, the User agrees to defend, indemnify and hold Topics Chat, its affiliates, and its respective directors, officers, employees, affiliates, agents, service providers, third party service providers and licensors, harmless from and against any claim or demand made by any third party, and any related liability, damage, loss, expense (including costs and attorneys' fees) due to, arising out of or in connection with your use of the Services, breach of the Agreement, violation of Law or its content.
14.2. By using the Services, the User agrees that the liability of the aforementioned entities is limited to the maximum extent permitted in the country of the applicable Law. Liability shall be limited to foreseeable damages arising from a breach of material contractual obligations typical of this type of contract. Topics Chat shall not be liable for damages resulting from a non-material breach of any other applicable civil liability. This limitation of liability shall not apply to any statutory liability that cannot be limited, to liability for death or personal injury caused by Topics Chat negligence or wilful misconduct, or if and to exclude Topics Chat' liability for anything we have specifically promised to the User.
14.3. As set out above, Topics Chat is not responsible for and is not obliged to control the content shared on the Platform, how and when the Platform is used or the actions of its Users or any third parties who, legitimately or illegitimately, have access to the Platform, its functionalities and services, or for any use of the Platform that does not comply with the Agreement, violates any legal or regulatory, community or national provisions, the property of third parties or the Users.
15. FINAL PROVISIONS
15.1. The Agreement constitutes the entire agreement between the User and Topics Chat and supersedes any prior agreements.
15.2. Topics Chat reserves the right to designate in the future that some of the Services will be governed by other Terms or Policies.
15.3. The Services are not intended for distribution or use in any Country or Territory where such distribution or use would violate local law or subject Topics Chat to any restrictions not applicable in Portugal, and Topics Chat reserves the right to limit the Services in any Country or Territory.
15.4. Any modification or waiver of the Agreement proposed by the User requires the express consent of Topics Chat.
15.5. All of Topics Chat' rights and obligations under the Agreement are freely assignable to any of our affiliates or in connection with a merger, acquisition, restructuring or sale of assets, or by operation of law or otherwise.
15.6. Topics Chat' failure to utilise a facility under the Agreement shall not be deemed a waiver of a right.
15.7. If any provision of these T&Cs is held to be unlawful, void or for any reason unenforceable, then that provision shall be deemed amended to the minimum extent necessary to render it enforceable and, if it cannot be rendered enforceable, it shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, and the remaining valid portion shall remain in full force and effect.
15.8. No provision of the Contract may be construed to exclude/restrict mandatory rights under applicable law.
15.9. Portuguese law shall apply to this Contract, except where such choice would violate a EU or national provision intended to protect consumer rights.
15.10. For any dispute arising from the interpretation, execution or termination of the relationship established between the User and Topics Chat, the Judicial Court of the District of Lisbon is competent, with express waiver of any other, except when this choice violates a Community or national provision aimed at protecting Consumer rights.
15.11. Under the terms of the Consumer Protection Law, consumer disputes of a low economic value (less than €5,000.00) are subject to necessary arbitration or mediation, whenever, at the express option of the consumers, they are submitted to an arbitration court attached to legally authorised consumer dispute arbitration centres. Therefore, in the event of a dispute, the final consumer may resort to any of these means, and must be represented by a lawyer or solicitor (or request legal aid, under the terms of the law).
15.12. Furthermore, under Regulation (EU) 524/2013 of the European Parliament and of the Council, the User can access the Online Dispute Resolution Platform (ODR) at https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.chooseLanguage, where information is provided on the possibility of using it to resolve disputes.
15.13. The Consumer Portal (www.consumidor.pt) also provides information on the Alternative Dispute Resolution bodies available to promote the out-of-court resolution of national and cross-border disputes under Law no. 144/2015, of 8 September, with subsequent amendments, when they are initiated by a consumer against a supplier of goods or services and concern contractual obligations resulting from contracts for the purchase and sale or provision of services, concluded between an established supplier of goods or services and consumers resident in Portugal and the European Union.
